NON-DISCLOSURE AGREEMENT BETWEEN THE EMPLOYER AND THE EMPLOYEE AND WORKER

Abstract

In a highly competitive and often constrained market, employers face significant challenges when former employees misuse confidential business information to gain an unfair competitive advantage. Protecting trade secrets and ensuring business continuity are key concerns for companies. This article explores the legal framework and case law regarding non-disclosure agreements in employment relationships. It analyzes the balance between employers’ rights to safeguard proprietary information and employees’ rights to career mobility. The study also examines the applicability of confidentiality clauses, their enforceability under labor law, and recent judicial interpretations shaping their legitimacy in employment contracts.
